Damages; Indemnification

You agree that you will be responsible for any damages resulting from any violation of this Visitor Agreement. You further agree to indemnify and hold Edmunds.com, Inc., and its affiliates, officers, directors, agents and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of this Visitor Agreement, or any violation of any law or the rights of any third party that occurs in connection with your use of the Sunroad Automotive Site.

Choice of Law and Forum

This Visitor Agreement shall be governed by and construed in accordance with the laws of the State of California , excluding its conflicts of law rules. You agree that, unless expressly waived by us or we bring an action in a different jurisdiction, the exclusive jurisdiction for any claim or action arising out of or relating to this Visitor Agreement or your use of the Sunroad Automotive Site shall be in the state or federal courts located in the County of San Diego, State of California, and you further agree and submit to the exercise of personal jurisdiction of such courts for the purpose of litigating any such claim or action. Modification and Severability

By continuing to use this Web site following our posting of such changes, you agree to be bound by this Visitor Agreement as modified. If any of provision of this Visitor Agreement shall be deemed invalid, void or for any other reason unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the balance of this Visitor Agreement.
